Terms of Service

1. Acceptance of Terms
By accessing or using XoomPark (“the Platform”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. XoomPark reserves the right to modify these terms at any time. Continued use after changes constitutes acceptance.
2. The Platform
XoomPark operates two interconnected products. The Reservation API is the neutral system of record — the booking engine where any entity with physical AV capacity (“Providers”) lists resources and any autonomous vehicle operator (“Operators”) reserves them for staging, charging, or pick-up and drop-off (PUDO). The Platform is the web application built on top of the Reservation API, providing Provider onboarding and inventory management, Operator self-registration and API credential issuance, and developer documentation. XoomPark is not a parking company — we provide the technology infrastructure layer that makes physical AV capacity reservable at scale, without double-bookings, without bespoke integrations, and without moving money through the core.
3. Account Registration
You must create an account to use XoomPark. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate, current information during registration. XoomPark may suspend or terminate accounts that violate these terms.
4. Provider Responsibilities
Providers are responsible for accurately configuring their sites, resources, and offerings, including resource type (staging stall, EV connector, or PUDO berth), dimensions, surface quality, GPS accuracy, connectivity, rates, and applicable policies (dwell caps, overstay penalties, eligibility rules). Offerings must meet XoomPark’s minimum requirements for AV safety. Providers must maintain their resources in a safe, usable condition and comply with all local zoning, curb, and parking regulations.
5. Operator Responsibilities
Operators must ensure their autonomous vehicles operate safely and in compliance with all applicable laws. Operators are responsible for any damage caused by their vehicles to Host property during a session. API access is subject to rate limits and acceptable use policies.
6. Billing & Payments
Staging and PUDO sessions are metered by time (per minute or per hour) at the rate set by the Provider. Charging sessions are metered by energy (per kWh). PUDO sessions are free up to the Provider-configured dwell cap; overstay triggers a penalty defined in the offering. XoomPark retains a platform fee from each completed session. Provider payouts are processed via Stripe Connect on the configured payout cycle. Operators receive usage records for all completed sessions. The Reservation API records the form of payment and emits usage records — it does not store card data or move money directly. All amounts are in USD. Disputed charges must be reported within 30 days.
7. Insurance
XoomPark provides comprehensive liability coverage for all active sessions on the platform. Coverage begins when a vehicle’s arrival is GPS-verified and ends upon verified departure. This insurance does not replace the Operator’s own vehicle insurance or the Host’s property insurance.
8. Cancellations
Hosts may pause or unpause their listings at any time without penalty. Active bookings that are cancelled by the Host may result in a cancellation fee. Operators may cancel bookings before the vehicle arrives without charge. Cancellations during an active session are billed for the time used.
9. Prohibited Conduct
You may not: use the platform for illegal purposes, submit false listing information, interfere with the platform’s operation, reverse-engineer the API, exceed rate limits intentionally, or create multiple accounts to circumvent restrictions.
10. Limitation of Liability
XoomPark is not liable for damages arising from use of the platform beyond the amount of fees paid to XoomPark in the 12 months preceding the claim. XoomPark is not responsible for the condition of listed spaces, the behavior of autonomous vehicles, or any disputes between Hosts and Operators except as mediated through our support team.
11. Termination
Either party may terminate their account at any time. XoomPark may suspend or terminate accounts that violate these terms. Upon termination, pending payouts will be processed within 30 days. Obligations arising from completed sessions survive termination.
12. Governing Law
These terms are governed by the laws of the State of Delaware. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
